End User License Agreement

1. Agreement

This End User License Agreement ("EULA") is a contract between you and Noematic for use of the Noematic platform, including noematic.io and related services (the "Service"). By creating an account or using the Service, you agree to be bound by this EULA and our Privacy Policy.

2. License Grant

Subject to your compliance with this EULA, Noematic grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your business operations. You may not sublicense, resell, or redistribute the Service or any portion of it.

3. Your Account and Data

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You retain ownership of the data you upload or create. By using the Service, you grant Noematic a license to process, store, and display your data as necessary to provide and improve the Service.

4. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose or in violation of applicable laws.
  • Transmit malware, spam, or harmful content.
  • Attempt to gain unauthorized access to the Service or other users' data.
  • Interfere with or disrupt the Service or its infrastructure.
  • Use the Service to abuse, harass, or harm others.

5. AI and Third-Party Tools

The Service integrates with AI models and third-party tools (e.g., via MCP). You are responsible for how you use these integrations and for ensuring your use complies with applicable terms of those providers. Noematic does not guarantee the accuracy or availability of AI-generated content.

6. Payment and Billing

Paid plans are billed in the intervals and amounts specified at the time of purchase. Fees are non-refundable except as required by law or as stated in our refund policy. We may change pricing with notice; continued use after changes constitutes acceptance.

7. Termination

You may terminate your account at any time. We may suspend or terminate your access for violation of this EULA or for any other reason. Upon termination, your right to use the Service ceases. We may retain or delete your data in accordance with our Privacy Policy.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. NOEMATIC DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOEMATIC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

10. Changes

We may modify this EULA from time to time. We will notify you of material changes by posting the updated version and updating the "Last updated" date. Continued use of the Service after changes constitutes acceptance of the revised EULA.
